Acceptance of Terms

By accessing or using the KeegNation Fitness platform ("KeegNation," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the platform.

These terms apply to all users of the platform, including trainers, athletes (trainees), and visitors. Please also review our Privacy Policy, which describes how we handle your personal information.

Eligibility

You must be at least 13 years of age to use KeegNation Fitness. If you are under 18, you represent that you have your parent or guardian's consent to use the platform. By using the platform, you represent and warrant that you meet these eligibility requirements.

Account Registration

To access certain features, you must create an account using Google Sign-In. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You agree to provide accurate and complete information during registration and to keep your profile information up to date. We reserve the right to suspend or terminate accounts that contain false or misleading information.

Use of the Platform

KeegNation Fitness provides tools for personal trainers and their clients to manage workouts, track progress, and communicate around fitness goals. You may use the platform only for its intended purpose and in compliance with all applicable laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for personal or professional fitness coaching purposes. This license does not include the right to resell, redistribute, or commercially exploit the platform or its content.

Trainer & Athlete Roles

Trainers are independent professionals who use KeegNation to build and assign workouts, manage client rosters, and deliver coaching services. KeegNation does not employ trainers and is not responsible for the quality, safety, or suitability of any training program created by a trainer on the platform.

Athletes (Trainees) use the platform to receive workouts, log sessions, and track progress under the guidance of their trainer. Athletes are responsible for exercising within their own physical limits and consulting a medical professional before beginning any new fitness program.

Payments & Subscriptions

Certain features of KeegNation may require a paid subscription. Payments are processed securely through Stripe. By subscribing, you agree to pay all applicable fees and authorize us to charge your selected payment method on a recurring basis until you cancel.

Applicable sales tax (including Pennsylvania state and local sales tax on SaaS subscriptions) will be calculated and collected at checkout as required by law.

We reserve the right to change subscription pricing with reasonable notice. Continued use of the platform after a price change constitutes acceptance of the new pricing.

Intellectual Property

All content, design, code, graphics, logos, and trademarks displayed on the KeegNation platform are the property of KeegNation Fitness or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the platform without prior written consent.

User Content

You retain ownership of content you create on the platform, including workout routines, exercise notes, and profile information ("User Content"). By posting User Content, you grant KeegNation a limited, non-exclusive license to store, display, and transmit that content as necessary to operate the platform.

You are solely responsible for the accuracy and legality of your User Content. We reserve the right to remove content that violates these terms or is otherwise objectionable.

Prohibited Conduct

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable laws
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the platform's infrastructure, security, or other users' access
• Attempt to gain unauthorized access to any part of the platform or its systems
• Scrape, harvest, or collect data from the platform by automated means without our consent
• Use the platform to distribute spam, malware, or harmful content
• Share your account credentials with others or allow unauthorized use of your account
• Use the platform to build, train, or improve a competing product or service
• Reverse engineer, decompile, or disassemble any portion of the platform
• Circumvent or attempt to bypass subscription tier limits, feature gates, or access controls
• Resell, sublicense, or redistribute FireDrop links, routines, or other content obtained through the platform without authorization

Cookies & Analytics

KeegNation uses cookies and similar technologies to provide core functionality (such as keeping you logged in) and to understand how the platform is used. We use Google Analytics to collect anonymous usage data, including pages visited, feature usage, and session duration.

When you first visit the platform, you will be asked to accept or decline analytics cookies. Essential cookies required for authentication and core functionality are always active. You may change your cookie preferences at any time by clearing your browser's local storage for keegnation.fit.

Disclaimers

The KeegNation platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the platform's reliability, availability, accuracy, or fitness for a particular purpose.

Fitness Disclaimer: KeegNation is not a medical provider. The workouts, programs, and fitness content available through the platform are created by individual trainers and are not a substitute for professional medical advice. Always consult a qualified healthcare provider before starting any exercise program, especially if you have pre-existing health conditions.

Limitation of Liability

To the fullest extent permitted by law, KeegNation Fitness and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform. This includes, without limitation, damages for injury, loss of data, loss of profits, or business interruption.

Our total liability to you for any claims arising from your use of the platform shall not exceed the amount you have paid to KeegNation in the twelve (12) months preceding the claim.

Termination

You may stop using the platform and delete your account at any time. We may suspend or terminate your access to the platform at our discretion if you violate these terms, engage in prohibited conduct, or for any other reason with reasonable notice.

Effect of Termination on FireDrop Links. Upon termination or deactivation of your account, any FireDrop links you have created will be automatically deactivated and will no longer be accessible to purchasers or recipients. This includes free and paid FireDrop routine links, program FireDrops, and any shareable links tied to your trainer account. Revenue earned prior to termination that has already been paid out through Stripe Connect will not be affected. Pending payouts at the time of termination will be processed according to our standard payout schedule, subject to any outstanding obligations or chargebacks. Purchasers who accessed content through a FireDrop link before deactivation retain access to content they have already received or downloaded, where applicable.

Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and intellectual property) will continue to apply.

Trainer Certification & Professional Responsibility

Trainers using the KeegNation Fitness platform are solely responsible for obtaining, maintaining, and renewing all professional credentials required to deliver fitness coaching services, including but not limited to:

• Personal training certifications from recognized certifying bodies (NASM, ACE, NSCA, ACSM, ISSA, or equivalent)
• Specialty certifications relevant to the services you offer (nutrition, strength and conditioning, corrective exercise, etc.)
• Professional liability insurance
• Any state, county, or municipal licenses or permits required in your jurisdiction
• CPR, AED, and first aid certifications where applicable

KeegNation's Role. KeegNation Fitness is a technology platform. We do not:

• Verify, validate, or endorse any trainer's certifications or credentials
• Track certification expiration dates or send renewal reminders
• Provide continuing education credits or certification programs
• Carry liability for a trainer's professional practice, scope of practice violations, or lapsed credentials
• Act as an employer, agent, or professional supervisor of any trainer

Trainer Representations. By registering as a trainer, you represent and warrant that:

• You currently hold all certifications and licenses required to deliver the services you offer through the platform
• You maintain appropriate professional liability insurance
• You will not misrepresent your credentials, experience, or areas of expertise in your trainer profile or marketing
• You will operate within your personal scope of practice and refer clients to qualified professionals (medical, nutritional, psychological) when their needs exceed your expertise
• You will notify us promptly if any certification is suspended, revoked, or allowed to lapse

Consequences of Misrepresentation. Misrepresenting credentials or operating without required certifications is a material breach of these Terms and may result in immediate account termination, forfeiture of pending payouts, and — where appropriate — referral to certifying bodies or regulatory authorities.

Assumption of Risk

Fitness training, resistance training, and exercise of any kind carry inherent risks, including but not limited to muscle strain, joint injury, cardiovascular events, and in rare cases, serious injury or death.

By using the platform, you acknowledge and agree that:

• You voluntarily assume all risks associated with exercise performed using workouts, programs, or content accessed through the platform
• You are solely responsible for determining whether any workout is appropriate for your current fitness level, health status, and physical capabilities
• You will consult a qualified healthcare provider before beginning any new exercise program, especially if you have pre-existing conditions, injuries, or concerns
• You will stop exercising immediately if you experience pain, dizziness, shortness of breath, chest pain, or any other adverse symptom, and seek medical attention as appropriate
• You will accurately represent your fitness level, health conditions, and limitations to any trainer with whom you work through the platform

KeegNation Fitness is not liable for any injury, illness, or adverse outcome sustained during or as a result of workouts programmed by trainers, selected by you, or otherwise accessed through the platform. Trainers using the platform are independent professionals and are solely responsible for the programming they deliver to their clients.

For Trainers: You represent that you hold appropriate certifications and insurance, that the programming you create is within your scope of practice, and that you will not knowingly assign inappropriate programming to clients with conditions outside your expertise.

Dispute Resolution

Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

Informal Resolution. Before filing any formal dispute, you agree to first contact us at the email address listed in our Contact Us section and attempt to resolve the matter informally in good faith for at least 30 days.

Binding Arbitration. Any dispute arising from these Terms or your use of the platform that is not resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Dover, Delaware, or remotely at the arbitrator's discretion. Disputes eligible for small claims court may alternatively be brought in that forum.

Class Action Waiver. You agree that any arbitration or proceeding shall be limited to the dispute between you and KeegNation Fitness individually. You waive your right to participate in a class action lawsuit, class-wide arbitration, or representative proceeding.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to us within 30 days of first accepting these Terms. Opting out will not affect any other provision of these Terms.

Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via email or an in-app notice.

Your continued use of KeegNation Fitness after changes are posted constitutes your acceptance of the updated terms.
